Does the labor judge reach the offshore?
Many people open an offshore thinking they have created an impenetrable shield against Labor Court. But the question you should ask yourself is: can the judge "cross the ocean" and attach your assets abroad? The short answer is: he will try. And if your structure is amateur, he will succeed.
Economic group: the connection trap
The greatest danger in Labor Court is the characterization of an Economic Group. If the judge understands that your company in Brazil and your offshore operate under the same command, with the same partners and objectives, he treats both as one. At that moment, the debt of the Brazilian company "jumps" to the offshore's cash.
The separation needs to be real, not just on paper.
Disregard of legal personality
The Brazilian Justice is the champion in using the Disregard of Legal Personality. If there is any indication of asset confusion — such as you paying personal bills with the offshore's card — the judge breaks the company's shield and goes straight to the assets.
Abroad, the corporate veil is sacred; in Brazil, it is made of glass.
The risk of the hidden partner
Don't be fooled by total anonymity. With the end of bearer shares and the Ultimate Beneficial Owner (UBO) registration, it is possible to track who really runs the structure. If the judge identifies you as the hidden partner who is emptying the Brazilian company to fill the offshore, he will allege fraud in execution.
And fraud is a crime, not a strategy.
The limits of international cooperation
But there is a limit. The Brazilian Justice does not have direct jurisdiction in other countries. To attach an asset in Nevis or Switzerland, the judge needs a Letter Rogatory — a slow, expensive and complex process.
The secret of protection is not being "invisible", it is creating such a high cost and time barrier that the other party gives up pursuing you.
Prevention: compliance is your weapon
The best defense is prevention. Keeping separate accounting, respecting economic substance and having a governance framework is what keeps your offshore standing.
